Terms of Service

Welcome to Proxana (“Proxana,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the proxana.dev website, dashboard, APIs, SDKs, extensions, and any related services (collectively, the “Service”). By creating an account, integrating our proxy, or otherwise using the Service, you agree to be bound by these Terms. If you do not accept every provision, do not use the Service.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract.
You represent that you have not been barred from using similar services under any applicable laws.
If you are accepting these Terms on behalf of an organization, you warrant that you have authority to bind that organization.
2. Account Registration and Security
Provide accurate, current, and complete information when you create an account.
Keep your password and API credentials confidential, and notify us immediately of any unauthorized use.
You are responsible for all activities that occur under your account, whether or not you authorized them.
3. License to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely in accordance with these Terms and any documentation we provide.
4. Usage Limits and Fair Use
Rate limits, request quotas, and concurrency limits may apply. We publish default limits in our docs and may change them to protect the Service.
You agree not to circumvent or disable any usage restrictions or security mechanisms.
We may throttle or suspend your endpoints if your usage poses a risk to system stability, security, or other customers.
5. Pricing, Billing, and Taxes
Paid plans. Some features require a paid subscription. Prices, billing cycles, and plan details appear on the pricing page or in your dashboard.
Automatic renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before renewal.
Taxes. You are responsible for all applicable taxes, duties, or government charges. We add VAT or similar taxes where required.
Disputes. To dispute a charge, contact billing@proxana.dev within 30 days of the charge date.
6. Intellectual Property
Our property. The Service, our trademarks, logos, and all related intellectual-property rights remain the sole property of Proxana and its licensors.
Your property. You retain all rights to code, content, and API keys you inject through the Service. By using the Service, you grant us the limited right to process that data solely to provide and improve the Service.
7. User Content and Feedback
You are solely responsible for all information, code, or content routed through or stored in the Service.
You grant Proxana a perpetual, worldwide, royalty-free license to use any feedback or suggestions you provide for any purpose without compensation to you.
8. Acceptable-Use Policy
You agree not to:
Use the Service for any unlawful, harmful, fraudulent, or abusive purpose.
Store or transmit content that infringes intellectual-property rights or privacy rights.
Probe, scan, or test the vulnerability of any Proxana system or network.
Rent, lease, sublicense, or otherwise transfer the Service to a third party except as expressly permitted.
Reverse-engineer, decompile, disassemble, or modify any part of the Service except to the extent such activity is expressly permitted by applicable law.
9. Service Changes and Availability
We may add, modify, or discontinue features with or without notice. We will use reasonable efforts to give advance notice when a change materially reduces core functionality, but we do not guarantee uninterrupted availability or any minimum level of uptime.
10. Termination
By you. You may stop using the Service and cancel your account at any time via your dashboard.
By us. We may suspend or terminate your access immediately if you breach these Terms, violate our Acceptable-Use Policy, fail to pay fees, or create risk or legal exposure for us.
Effect. Upon termination, your license to use the Service ends, and we may delete your data after the retention period described in our Privacy Policy. Sections that by their nature should survive (e.g. Intellectual Property, Disclaimers, Limitation of Liability, Indemnification) will remain in effect.
11. Disclaimers
The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be error-free, secure, or continuously available. You use it at your own risk.
12. Limitation of Liability
To the fullest extent permitted by law:
Proxana will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.
Our aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us in the twelve months preceding the claim or (b) fifty U.S. dollars (USD $50).
These limitations apply even if a remedy fails of its essential purpose.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so those limitations may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Proxana, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.
14. Governing Law and Dispute Resolution
Governing law. These Terms are governed by and construed in accordance with the laws of [choose: the Hashemite Kingdom of Jordan, the State of Delaware, etc.], without regard to conflict-of-law principles.
Jurisdiction. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts of [chosen venue], unless we agree to binding arbitration as described below.
Arbitration (optional). If both parties consent in writing, disputes may be submitted to binding arbitration under the rules of the [American Arbitration Association / ICC].
15. Changes to These Terms
We may revise these Terms at any time. We will post the updated version on proxana.dev and, if changes are material, provide at least 14 days’ advance notice by email or dashboard alert. Continued use of the Service after the effective date constitutes acceptance of the new Terms.
16. Miscellaneous
Entire agreement. These Terms constitute the entire agreement between you and Proxana regarding the Service and supersede all prior agreements.
Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Waiver. Failure to enforce any provision is not a waiver of future enforcement.
